NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER, PARTICIPATE OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

OPEN TO ALL LEGAL RESIDENTS OF 50 UNITED STATES AND DISTRICT OF COLUMBIA, 18 AND OLDER AT TIME OF ENTRY

1. BRIEF OVERVIEW OF "GAME SHOW VIDEO GAMES INSTANT WIN & HOLLYWOOD GAME SHOW SWEEPSTAKES" (hereinafter sometimes referred to as the "Promotion"): The Promotion consists of three (3) different online instant win games (each individually referred to as "Game" and collectively as "Games"), Spelling Bee™, Survey Says, and Big Bucks and a Grand Prize Sweepstakes ("Sweepstakes"). In addition to the Promotion, Ubisoft, Inc. ("Sponsor") is offering a Rewards Center loyalty program in which Promotion participants may participate. After registration, you will have your own personal Rewards Center Account consisting of both a Points Account and a Game Play Credits Account. The Rewards Center loyalty program is an adjunct to the Promotion; it will not effect your chances of winning a Game or the Sweepstakes. The Promotion starts at 12:00 A.M., ET on 9/2/09 and ends at 11:59:59 P.M., ET on 1/04/10 ("Promotion Period"). After you have successfully registered at www.gameshowvideogames.com, each day that you sign on to the website during the Promotion Period, you will receive one (1) opportunity to play each of the three (3) Games (sometimes referred to as "Game Play[s]") and up to three (3) entries into the Sweepstakes, i.e., one (1) Sweepstakes entry for each Game Play. Each day during the Promotion Period, that you play one (1) of the complimentary three (3) Games, you will earn a minimum of twenty-five (25) points ("Points") that will be automatically banked into your Points Account. You may either save and/or redeem your Points for a Reward item or you can withdraw banked Points, deposit them in your Game Play Credits Account and use them for additional Game Plays (and Sweepstakes entries) as described herein below and in Rule 3. NOTE: Twenty-five (25) banked Points equal one (1) Game Play Credit. As stated in Rule 3, you will also be able to obtain and use various Codes to increase the number of Points or Game Play Credits you accumulate to use either for additional Game Plays or for redeeming a Reward item; however, regardless of the number of Points or Credits you have accumulated, you are limited to withdrawing seventy-five (75) Points each day from your Points Account, regardless of the email address or Account you use, in order to obtain three (3) additional Game Play Credits. Your Game Play Credits may be used at any time throughout the Promotion Period; however you are limited to a maximum of 753 Game Plays throughout the Promotion Period including your daily complimentary Game Plays. Each Game will have its own Grand, First, and Second Prizes available to be won and the winners will be randomly pre-determined by date and time of Game Play and number of eligible Game Plays; not by Game score. The potential Winner of the Sweepstakes will be selected from among the total number of all eligible Game Play entries received during the Promotion Period. A day will be deemed to start at 12:00 A.M., ET and end at 11:59:59 P.M. of that calendar day. The computer of Nomadic Agency ("Nomadic"), the independent agency administering this Promotion, shall be deemed to be the official Game clock.

2. ELIGIBILITY: All legal residents of the 50 United States and District of Columbia, 18 years and older as of time of entry, are eligible to enter the Sweepstakes except persons who are officers, directors, or employees (and members of household or their immediate family, i.e. spouse, parent, child, or sibling, the "steps" of each and their household members) of Ubisoft, Inc. ("Sponsor"), FremantleMedia North America, Inc. Ludia, Inc, Columbia Broadcasting System their respective parent companies, affiliates, subsidiaries, advertising, promotion and web design agencies, including Nomadic, and their respective parent companies, affiliates, and subsidiaries ("Sponsor & Others") and other individuals/entities associated with this Promotion are not eligible to enter or win.

3. INSTANT WIN GAME: (A) HOW TO ENTER/PARTICIPATE: Go to www.gameshowvideogames.com ("website"), and register by completing all of the requested information, e.g., your name, complete street address (P.O. Boxes will not be accepted), gender, date of birth, phone number, valid email address and answering the brief survey questions. Once you have successfully registered, you will have your own Personal Rewards Account consisting of both a Points Account and Game Play Credits Account (collectively, "Accounts"). Each day during the Promotion Period that you go to the website and enter your password and valid email address, you can play each of the three (3) Games by carefully following the instructions for that specific Game. Each day during the Promotion Period, you will receive one (1) complimentary opportunity to play each Game and one (1) automatic entry into the Sweepstakes immediately after your Game Play. Regardless of the number of Points you actually earn in the specific Game you have played, you will earn a minimum of at least twenty-five (25) Points which will be automatically banked into your Points Account. Each day during the Promotion Period, you may withdraw a maximum of seventy-five (75) Points from your Points Account to deposit into your Game Play Credits Account. As stated in Rule 1, twenty-five (25) Points equal one (1) Game Play Credit. You may withdraw your Game Play Credits from your Game Play Credit Account at anytime during the Promotion Period to provide you with additional Game Plays, one (1) Game Play per specific Game. Each time that you withdraw a Game Credit from your Game Play Credits Account and complete a Game Play, you will automatically receive one (1) additional Sweepstakes entry. NOTE: Provided you have a sufficient number of Game Play Credits, you may withdraw a maximum of three hundred seventy-eight (378) Game Play Credits from your Game Play Credits Account to use as Game Plays during the Promotion Period, regardless of the email address or Account you use. Regardless of the number of Game Play Credits you have accumulated, you are limited to a maximum of seven hundred fifty-three (753) Game Plays during the Promotion Period including your complimentary Game Plays.
(B) WINNING GAME PLAYS: To be a potential Game Winner of an indicated Game Prize, your Game Play must have occurred either at the exact randomly predetermined winning time as determined by Sponsor and/or Nomadic, or if no Game Play has occurred at the exact randomly predetermined winning time, it must be the Game Play that occurred at the closest time immediately following the randomly predetermined winning time. GAME SCORES WILL NOT DETERMINE WHETHER A PARTICIPANT IS A POTENTIAL INSTANT WIN GAME OR GRAND PRIZE SWEEPSTAKES WINNER. All winning Game Plays and winners are subject to verification and compliance with these Official Rules as determined by Nomadic, whose decisions are final and binding in all matters pertaining to this Game. NOTE: If you sign on to the website to play the Game after all the winning Game Plays have already occurred, a message will appear stating "ALL GAME PRIZES HAVE ALREADY BEEN WON, THANK YOU FOR YOUR INTEREST!! NOTE: Even if you receive a message that all Game Prizes have already been won, you may still play the Game in order to receive an additional entry into the Sweepstakes. Limit: Only one (1) Instant Win Game Prize per person or household regardless of Game won.
(C) USE OF POINTS, CODES & CREDITS: As described above, participants can obtain and bank Points in their Points Account either to use to redeem a Reward item or to withdraw and deposit in their Game Play Credit Account for additional Game Plays. Besides obtaining Points through complimentary daily Game Plays as described above, participants may also obtain Points, Codes and Credits as provided in Rule 4 below.

PRIZES: Regardless of Prize won, it must be accepted as awarded and is not redeemable for cash, transferable or substitutable, except by Sponsor in its sole discretion with one of comparable or greater value. Sponsor reserves the right to substitute a cash award in lieu of any specific prize listed herein. All costs not specifically included herein, are solely each Instant Winner's responsibility.

Additional Information Regarding Instant Win Game Prizes: Total approximate retail value of all Instant Win Game prizes available to be won: $25,439.55. Limit: One Instant Win Game/Sweepstakes Prize per person or household address regardless of email address, Account used or Game won. After the Winner eligibility verification process is satisfactorily completed, Instant Win Game Prizes will be mailed to the respective winner's residential address as provided upon registration. All winners must comply with the provisions of Rule 6 below.

(B) HOLLYWOOD GAME SHOW SWEEPSTAKES RANDOM DRAWING/PRIZE (1) /ODDS OF WINNING: (i) Random Drawing/Notification: On or about 1/11/10, the name of the potential Hollywood Game Show Sweepstakes Winner ("Sweepstakes Winner") will be selected in a random drawing conducted by Nomadic from among the total number of all eligible entries received during the Promotion Period. The potential Sweepstakes Winner will be notified by email and/postal mail/ and or courier within approximately seven (3) days after the random drawing. (ii) Prize: The Sweepstakes Winnerwill receive a The Price Is Right Trip to Los Angeles, CA ("Trip") for two consisting of roundtrip coach airfare for two from the major international airport nearest the Grand Prize Winner's residence to Los Angeles International Airport ("LAX"), ground transportation to and from LAX to hotel; two (2) nights/three (3) days hotel accommodations (one standard room, double occupancy) at a hotel selected by Sponsor; two (2) tickets to attends the filming of The Prize Is Right and Family Feud shows, and a total of Two Hundred Dollars ($200) spending money. (Total ARV: $3,000) If the actual retail value is less than stated Total Approximate Retail Value, the Sweepstakes Winner will not receive difference between actual retail value and Total Approximate Retail Value. All expenses not specified above, such as meals, beverages, mini-bar, entertainment, telephones, souvenirs, and gratuities, insurance, personal or spa services, etc., are solely the Sweepstakes Winner's responsibility. All accommodations and reservations will be as arranged by Sponsor and are subject to advance notice, holiday black-out dates and availability. Trip must be completed prior to 12/10/10. Other Trip restrictions may apply. The Sweepstakes Winner and guest must possess required travel documents and must travel together on same itinerary. Sponsor has no responsibility for lost, stolen, misplaced or mutilated tickets and/or travel documents, baggage, flight delays, or any other occurrences beyond its control. Sponsor has no responsibility for the Sweepstakes Winner's inability or failure to accept or utilize the Grand Prize as described herein or for the guest's inability to utilize the Grand Prize. The Sweepstakes Winner's guest must be of the age of majority in his/her state of residence unless the Sweepstakes Winner is the guest's parent, legal guardian or spouse. The potential Sweepstakes Winner will be required to sign and return a notarized Affidavit of Eligibility/Compliance and Publicity/Liability Release, where allowed by law, and such other documents as may be reasonably requested by Sponsor. Failure to sign and return these documents by the return date specified in the prize notification will result in forfeiture of the entire Grand Prize, and, time allowing, the selection of an alternate potential Sweepstakes Winner. The Sweepstakes Winner will be issued a Form 1099 for tax purposes in the amount of the actual retail value of the Trip and the Sweepstakes Winner must submit his/her Social Security Number, as required by law. All federal, state and local taxes are solely the responsibility of the Sweepstakes Winner. The Grand Prize is not transferable or substitutable except by Sponsor with one of equal or greater value. If the Grand Prize is won by a minor in his/her state of residence, his/her parent or legal guardian must sign and return all required documents and accompany him/her on the Trip. (iii) Odds of Winning: Odds of winning the Grand Prize depend upon the total number of eligible entries received during the Promotion Period.

6. CONDITIONS: (A) Compliance with Rules: By participating, participants: (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor and/or Nomadic, as made in their sole discretion, which shall be final and binding in all matters relating to this Promotion. Participants who have not complied with these Official Rules are subject to disqualification. (B) Conditions: Allow six (6) to eight (8) weeks for verification and shipment of your prize after verification. Sponsor & Others shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be delivered to verified winners. Prizes will be delivered only to street addresses in the 50 United States or Washington, D.C. Prizes will not be delivered to P.O. boxes. Unclaimed prizes will not be awarded. If a potential winner is found to be ineligible, declines to accept a prize or Sponsor is unable to contact a potential winner within a reasonable period (as determined by Sponsor), or in the event that a prize confirmation or prize is returned undeliverable, the prize will be forfeited. Rewards and Prizes must be claimed by 6/30/10 or will be forfeited. Prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Promotion materials are for illustrative purposes only and may differ from the actual prizes awarded. All details and restrictions on prizes and prize use not set forth in these Official Rules will be determined by Sponsor in its sole discretion and will be provided to the applicable Prize Winner upon verification and award of the prize. Prizes will be awarded only if a participant meets all eligibility requirements and fully complies with these Official Rules. If there is a difference between the approximate and actual retail values of any Prize, the Winner is not entitled to the difference in value. Total ARV of all Instant Win Game and Sweepstakes Prizes: $ 28,439.55.

7. INTERNET/LIMITATIONS OF LIABILITY: Sponsor & Others are not responsible for interrupted or unavailable network server or other connections; for miscommunications; failed telephone or computer transmissions; for jumbled, scrambled or misdirected entries or transmissions; for phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties; for other errors, omissions, interruptions, or deletions of any kind, whether human, typographical, mechanical or electronic; or for any damage to any person's computer related to participating in the Promotion. Sponsor & Others are not responsible for illegible, unintelligible, late, lost or stolen entries; for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion; or for any technical, typographical or human errors which may occur in the processing of any entries in or the administration of the Promotion. Persons found tampering with, abusing any aspect of the Promotion or acting in an unsportsmanlike manner, as solely determined by Sponsor, will be disqualified and may be subject to prosecution. Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. Any person attempting to enter using multiple email addresses, multiple identities or any other device or artifice to enter multiple times or to interfere with the proper play of the Promotion will be disqualified from participation in the Promotion. If in the judgment of Sponsor, the Promotion is compromised by viruses, bugs, non-authorized human intervention or other causes which corrupt the administration, security, fairness or proper play of the Promotion, Sponsor reserves the right, in its sole discretion, to discontinue, suspend, modify or terminate the Promotion and proceed to select potential Winners in a manner it deems fair and reasonable including, without limitation, the selection of potential Winners in a random drawing from among eligible entries received prior to any such discontinuation, suspension, modification or termination. Any personally identifiable information collected during an entrant's participation in this Promotion will be collected by Sponsor or its designee and used by Sponsor and designees for purposes of the proper administration, fulfillment, publicizing and promotion of the Promotion as described in these Official Rules, as stated in Sponsor's Privacy Policy at http://ubi.com/US/Info/Info.aspx?tagname+PrivacyPolicy or as otherwise expressly consented to by entrant during any separate opt-in opportunity provided to entrant during entry into the Promotion. If an entrant does not fully agree to the terms of the Privacy Policies, such entrant should not provide any personal information on the website or enter the Sweepstakes on-line. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. ENTRANTS ENGAGING IN ANY OF THE FOREGOING ACTIVITIES MAY BE DISQUALIFIED AND FORFEIT ANY PRIZES WON. In the event of a dispute as to the identity of a Winner based on an email address, the winning entry will be declared made by the authorized account holder of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted e-mail address. In no event will more Prizes be awarded than are as stated in these Official Rules. In the event that production, technical, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to conduct a random drawing to award the stated number of prizes from among all eligible claimants. Sponsor has no responsibility for any late, lost, illegible, undeliverable/undelivered or postage due entries or mail. SPONSOR & OTHERS MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT AS REGARDS THE GRAND PRIZE OR ANY COMPONENT OF THE GRAND PRIZE. 8. PUBLICITY RIGHTS: By accepting a Prize, each Winner agrees to allow Sponsor and/or Sponsor's designees the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, world wide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.

9. DISPUTES: By participating in the Promotion, participants agree that: except as otherwise specifically set forth in these Official Rules, any action arising out of or relating to these Official Rules or the rights and obligations of any participant and/or Sponsor shall be filed exclusively in the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located GOVERNING LAW: in Oakland County, Michigan; and participants hereby consent and submit to the personal jurisdiction of such court for the purposes of litigating any such action, and any right to a trial by jury is hereby waived; any and all disputes, claims, and causes of action arising out of or connected with these Official Rules, and/or the rights and obligations of any participant and/or Sponsor shall be resolved individually, without resort to any form of class action; any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and in no event will participants be entitled to receive attorneys' fees or other legal costs; under no circumstances will participants be permitted to obtain injunctive or other equitable relief and a participant's sole remedy will be an action at law for damages to the extent allowed by these Official Rules; and under no circumstances will participants be permitted, and participants hereby waive all rights, to: claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of pocket costs described in above; or have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and/or Sponsor shall be governed by and construed in accordance with the laws of the State of Michigan without giving effect or regard to any principles or doctrines of conflicts of law of the State of Michigan or any other jurisdiction. If any provision or provisions of these Official Rules shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

10. RELEASE: By participating, each participant (or his/her parent or legal guardian if an eligible minor) releases and agrees: (a) to indemnify and hold harmless Sponsor & Others and each of their officers, directors, employees and agents from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, or arising out of participation in any Promotion-related activity or travel-related activity whether hosted by Sponsor & Others or a third party, or the receipt, use or misuse, of any travel or activity-related thereto; (b) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; (c) that under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs.

11. GENERAL: By entering the Promotion, participants agree to abide by these Official Rules throughout the Promotion Period. The Promotion is subject to all applicable federal, state and local laws Void outside of the 50 United States and District of Columbia and wherever prohibited or restricted by law.

12. WINNERS LIST: To obtain the names of the Grand and First Prize Instant Win Game Winners and the Grand Prize Sweepstakes Winner, send a properly stamped self-addressed envelope, by 2/15/10, to Game Show Video Games Winners List, 35610 Mound Road, Dept #900, Sterling Heights, MI 48310-4725. Winners' names will be sent after prizes have been awarded to verified Winners.
